Part 1 — Terms for everyone
1. Who we are and what you are agreeing to
Nerida Health is a service of Nerida, Inc., a Delaware corporation, 2810 N Church St STE 89909, Wilmington, DE 19802 ("Nerida", "we", "us"). You can reach us at hello@neridahealth.com.
These Terms are a contract between you and us. You accept them by selecting the agreement control when you create your account, or when we ask you to accept a new version. Part 1 applies to everyone. Part 2 also applies to patients and carers. Part 3 also applies to physicians, dentists and their assistants.
Our Privacy Notice (https://neridahealth.com/en/legal/privacy-notice/v1/) explains how we handle personal information. We give it to you separately. Reading it is not agreeing to it, and accepting these Terms is not consent to any use of your health information. We record your acceptance of these Terms and our delivery of the Privacy Notice separately, with their versions and dates.
Buying a plan, giving an optional consent, allowing a clinician to see a record, and signing a clinic agreement are each separate steps. Accepting these Terms as an individual does not bind a clinic unless you have authority to sign for it.
Nothing in these Terms takes away a right that the law where you live gives you and that cannot be excluded by contract, including consumer guarantees and privacy rights.
2. Where the service is available, language and age
We offer accounts to people in the United States, Australia and Türkiye. People elsewhere can join a waitlist; a waitlist entry is not an account.
You may create your own account if you are at least 18 years old, or the age of majority where you live if that is higher. We do not offer accounts that teenagers create themselves. A clinician may keep a record for a child who is their patient, with the child's parent or guardian recorded as the person who manages it, where the law allows.
These Terms are available in English, Spanish and Turkish. Each version has the same meaning. If they differ, the version in your language applies where the law requires it; otherwise the English version applies.
3. What the service does and does not do
Nerida Health is software for keeping health records and communicating with your care team. It connects patients, carers and clinicians. A clinician means a physician or a dentist; both use the same kind of clinician account. An assistant is a member of a clinician's staff who helps with non-clinical work. A carer is a patient who helps another patient through a relationship the other patient set up.
Your care comes from your clinician, who is independent of us. Nerida Health does not diagnose, triage or recommend treatment. Any patient-specific rules in the service are written by the treating clinician for their own patients. The service is not intended to be a medical device, and it has no video or audio consultations.
You connect with a clinician by invitation or by a request to a specific person. There is no public directory of clinicians, no ranking, no paid placement and no paid referrals. A connection does not give access to all of your records and does not create a right to care.
4. Emergencies and urgent care
Nerida Health is not an emergency service. Do not use it to ask for emergency help. In an emergency, call the emergency number where you are now. Do not wait for a reply in Nerida Health.
For an urgent health concern, contact a clinician or urgent-care service directly. Do not rely on a message in Nerida Health to get urgent care. Sending a message or seeing a reminder does not mean that anyone is watching it. Neither we nor these Terms guarantee that a clinician will reply, or reply within any particular time.
5. Your account and keeping it secure
Use only your own account and keep your sign-in methods secure. Depending on your account, you can sign in with a passkey or with a password and an authenticator code; where we offer it, you can also sign in with Apple, Google, Facebook or Microsoft. Administrator accounts cannot use these sign-in providers. Signing in proves you control the account; it does not check anyone's professional registration.
Some clinical actions ask you to confirm it is really you: with your password and authenticator code, or, for an account without a password, with a passkey you set up for this. Signing in with one of these providers alone is not enough for these actions. If you lose access to your authenticator or passkey, contact support@neridahealth.com. We will check that the request comes from you and help you restore access. We will never switch the check off to let an action through.
Use only the access you have been given. A connection, an assistant assignment, a carer relationship or a document you share does not grant any other permission. Report suspected misuse of an account to security@neridahealth.com. Do not include passwords, codes or health information in the report.
6. Your content and acceptable use
You keep the rights you have in what you put into the service. You allow us to handle it only as needed to provide the functions you use, apply the permissions you and others set, protect the service and meet our legal duties. This does not give us ownership of any clinical record or take away any of your rights.
Do not pretend to be someone else, claim qualifications you do not have, access information without authority, get around access controls, send unlawful or abusive content, upload malicious files, or use the service to sell patient referrals. Upload only material you are allowed to share. Never let someone else use your account.
We do not use your information for advertising, sell it, or use it to train AI models. Taking part in research, if we ever offer it, will be optional and will have its own information and consent. Saying no to research never affects your care records or your rights.
7. Plans and prices
Patients and clinicians can choose a Plus or Premium plan, paid monthly or yearly. A subscription continues until you cancel it. A yearly plan renews yearly; it is not a commitment you cannot cancel. You can pay on the web through Stripe, or in our apps through Apple or Google. The price of a plan is the same on every payment route in the same market and currency. Apple and Google process app purchases under their own terms; that does not reduce what we owe you.

In Australia and Türkiye, and in the apps, you see the price in your local currency, with any taxes included, before you pay. We tell you before the clinician launch price ends; a clinician who subscribed at the launch price keeps it while the subscription continues without a break.
Before you pay, we show the amount, currency, taxes, billing period, renewal terms, what the plan includes and how to cancel. Nothing is charged unless you confirm the purchase, including any repeat charge. The functions of each plan are listed on our pricing page and in the app at the time you buy.
Assistants do not pay for a plan; what an assistant can do follows their clinician's plan and the permissions the clinician grants. A carer's view of another patient follows that patient's plan. Your privacy rights and our security protections never depend on paying.
8. Free trial
A new clinician account gets Premium free for 30 days, starting when the account is created. The trial does not need a payment card and never turns into a paid plan by itself: after the 30 days, the account moves to the Free plan unless you buy a plan. A trial does not cancel a plan you already bought; see section 9 to cancel one.
Patient accounts do not have a trial; a patient can buy Plus or Premium at any time. There are no invitation rewards, founding-clinician places, or group or practice discounts.
9. Cancelling, withdrawing and refunds
You can cancel a subscription at any time. On the web, go to Settings, then Plan, then Manage billing. In the iPhone or iPad app, use your Apple account's subscription settings. In the Android app, use Google Play's subscription settings. Cancelling stops the next renewal; you keep access until the end of the period you paid for. Cancelling a plan, closing your account and asking us to erase records are three different things.
Where the law gives you more — a cooling-off period, a refund for a period not provided, or a remedy for a service that is faulty — the law applies. Not every purchase is non-refundable. Apple and Google handle refunds of app purchases; if they do not resolve a refund the law requires us to give, contact support@neridahealth.com.
Türkiye. You may withdraw from a new subscription within 14 days of buying it, without giving a reason, and receive a full refund. If you end a subscription, we stop it within 7 days of your request and refund any amount paid for a period not yet provided within 15 days of the end.
10. Records, closing your account and how long we keep things
Archiving hides an item from everyday views; it does not erase it. Clinical records are corrected by adding a correction, not by deleting the original. Messages cannot be deleted by users; after an account is deleted, its messages show "Deleted account" as the sender. Messages and clinical records are still subject to the legal retention and erasure rules described in our Privacy Notice.
When you close your account, we deactivate it and sign you out everywhere. You have 14 days to restore it; during that time you can only sign in to restore or confirm the deletion. On day 14 we erase your sign-in credentials and schedule the destruction of the key that protects your private backup. A clinician must first complete the record-handover steps in section 15. An account that never connected with anyone and has no private backup can be deleted immediately.
Clinical records, messages and audit records are kept for as long as the treating clinician's legal record-keeping duty requires. Where no retention period for your jurisdiction has been set, we do not delete these records automatically; this protects records that the law may require to be kept, and it does not take away your right to ask for deletion. You can ask for deletion at any time at privacy@neridahealth.com; we answer within the time the law sets and explain any legal reason to keep something.
A clinician can agree to, or give reasons against, removal of a record from their own retained copy. That decision alone does not release a legal hold. A legal hold must name its legal authority, scope, keeper and end date or review date.
11. What we promise and our responsibility
We provide the service with the care and skill the law requires. You are responsible for giving true account information and using your permissions lawfully. Clinicians remain responsible for their independent care and professional duties; this does not remove any duty the law places on us.
The internet, devices and other companies' systems can interrupt communication. A message that was sent, or a notification, does not show that it was received, read or acted on. We do not promise uninterrupted service, a clinical result, perfect security or a response time from a clinician. This does not limit our responsibility for failing to provide the service with the care the law requires, or any responsibility that the law does not allow us to limit.
These Terms do not ask you to compensate us for claims by others, and they do not put a contractual cap on our responsibility to you.
12. Suspending access and changing these Terms
We may restrict an account where reasonably necessary to deal with misuse, a security risk or a legal requirement, and only as far as needed. Unless the law or an immediate risk prevents it, we will tell you why and how to ask for a review at support@neridahealth.com. A suspension never erases records outside their normal lifecycle.
We will give you at least 30 days' notice of a significant change to these Terms, a price or the service, explain what changes, and let you cancel before it takes effect. A change that needs your fresh agreement or a new consent will ask for it. A change to the Privacy Notice cannot permit a new use of your information retrospectively. A change needed urgently for safety, security or the law may take effect sooner; we will tell you as soon as we can. If we ever stop the service, we will give reasonable notice, help you get your records and give any refund the law requires.
13. Help and complaints

We will acknowledge your message and explain the next step, including when to expect an answer. Complaining is free and never affects the service you receive. Support is not an emergency or clinical monitoring service.
You can also go to a regulator, licensing board, consumer authority or court. A complaint about clinical care may belong with the clinician or clinic. In the United States: the Federal Trade Commission, your state attorney general and, for HIPAA matters, the HHS Office for Civil Rights. In Australia: the Office of the Australian Information Commissioner for privacy, your state or territory health complaints body or Ahpra for clinical care, and your consumer affairs agency. In Türkiye: the Personal Data Protection Authority (KVKK) for privacy, and the consumer arbitration committee or consumer court for consumer disputes.
We do not impose compulsory arbitration, a class-action waiver, or an overseas court. You keep the protection of the laws of the place you live and access to its courts.
Part 2 — Patients and carers
14. Checking your clinician
Nerida does not check, verify or confirm a clinician's identity, qualifications, licence or registration. There is no credential review before a clinician can use the service. A clinician may choose to upload documents and share them with their own connected patients. "Credentials on file" means documents the clinician shared; it does not mean we checked them or that they are authentic, current or endorsed. Any internal review we carry out is to protect the service from abuse, not to verify anyone.
Before relying on a clinician, check their identity, current registration and any conditions yourself:
- United States: your state's medical or dental licensing board (for example the Medical Board of California or the Dental Board of California).
- Australia: Ahpra's register of practitioners, choosing the medical or dental profession.
- Türkiye: ask the clinician for their diploma registration and confirm it with your provincial health directorate (İl Sağlık Müdürlüğü).
15. Sharing and acting for someone else
Share only within the permissions you choose and the law allows. Connecting with a clinician is separate from letting them see a particular record. A carer uses their own patient account through a relationship the other patient set up; that relationship's scope and end date decide what the carer can see and do. A guardian needs legal authority, which may be limited by the patient's own rights. Assistants and carers cannot see clinicians' credential documents.
16. Your care and your records
Arrange your care, and how and when your clinician replies, directly with your clinician. Your plan pays for the software, not for care or for the clinician's fees. If a clinical record seems wrong, ask the clinician; a correction may be added rather than the original deleted. You can also use your privacy rights against us, as explained in the Privacy Notice. Paying or not paying, closing your account or disagreeing with a clinician never ends those rights.
Part 3 — Physicians, dentists and assistants
17. Your professional responsibility
You must hold and keep the registration your work requires, and describe your profession and titles truthfully, using only titles you are allowed to use where you practise. Our choice not to verify credentials does not change your duties. Your specialty setting personalises the software; it does not give you professional authority or access to any patient.
You are responsible for your clinical judgement and care, the rules you write, your professional conduct, the accuracy of your records, informing patients and getting their consent, and your own record-keeping duties. Get the required authority before creating or using a record, including a child's record.
If you act for a clinic, the clinic's legal identity, your authority and its instructions must be set out separately. An assistant cannot bind a clinic by accepting an invitation.
18. Assistants, invitations and safeguards
Give assistants only the non-clinical functions they need, and remove their access when it is no longer needed. Credential documents can be shared only with your own connected patients. You can send up to 100 patient and assistant invitations in total per calendar day (in your time zone). A connection still needs both sides to accept, and the patient's permissions apply. Do not use invitations or titles to suggest an endorsement, or to get around access controls.
19. Privacy roles, HIPAA and data processing
For the care you provide, you or your clinic decide why and how patient information is used, and we process it on your behalf. We separately decide how we run accounts, security, billing and support. The Privacy Notice explains each role.
United States — HIPAA. If you are a HIPAA covered entity, you must sign our Business Associate Agreement before you put protected health information into the service, including in an invitation, message, attachment or trial. Ask for it at hello@neridahealth.com. A clinician who is not a covered entity does not take on HIPAA duties by accepting these Terms.
Clinics that need a data processing agreement for the care information we process on their behalf can ask for one at hello@neridahealth.com. It sets out our instructions, security, subprocessors, international transfers, assistance with patients' rights, incident notice, audits and what happens to the data when the service ends.
20. Leaving and handing over records
Before you delete your account, complete the handover steps: deal with booked appointments (giving reasons), remove assistants' access, tell your patients, and seal the records you must keep. Patients keep their legal right to see their own information after you leave. A sealed record is kept only for the legal retention period and released only where the law allows; it cannot be used for new care, and it does not become ours. Closing your account does not end your own professional duty to keep records.
